Business Partner Partner Agreement
Contempo Curations (Pty) Ltd, trading as Business Partner Version 1.1, 13 August 2026
Who this is between
Business Partner means Contempo Curations (Pty) Ltd, trading as Business Partner, registered in South Africa.
You means the practice or person accepting this agreement.
A referred client means a business that subscribes to Business Partner through your referral link, or a business you name to us before they subscribe.
Net Payment Receipts means the amount a referred client pays, less the payment processing fees we are charged on that payment. It is what actually reaches us. Nothing else is deducted before your share is worked out.
1. What you get
Business Partner free on your own practice.
Free for 90 days from the day your account is created, with nothing required in return.
After 90 days, it stays free for as long as at least one referred client holds an active subscription. If none does, we will tell you before anything changes, and you can subscribe at the standard rate or stop.
30% of Net Payment Receipts on your referred clients.
For as long as each client stays subscribed. Not for a fixed period.
What that means in practice. When a referred client pays, we receive the amount they paid less the payment processing fees. Your share is 30% of what we receive. We show you both figures on every statement, so you never have to work it out.
2. What your clients pay
Referred clients pay whatever rate applies to them at the time they subscribe, on the same terms as anyone else.
A referred client may take a founding place. Founding places are open to every business regardless of how it reached us. Being referred does not put a client on a different rate.
If our prices change, a client keeps whatever rate they subscribed at where their rate is fixed, and your share continues on what we actually receive from them.
3. How a referral is recognised
A client is yours if they arrive through your referral link, or if you tell us their name before they subscribe.
First contact wins. If a client was already talking to us before you named them, they are not a referral.
One share per subscription. Where more than one person could claim the same client, the earliest recorded introduction is the one we pay. We do not pay two shares on one subscription and we do not split one.
Where it is genuinely unclear, the client gets the better price and you still get your share. We will not argue with you about a client you introduced.
4. What we pay you and when
Monthly, by the 7th, for the previous month, by EFT to the account you give us.
We pay on what we received, not on what was invoiced. A payment that settles on the 1st falls into that month.
Your share is calculated at the rate in force when each payment was made. If our terms change, payments made before the change are still priced at the old rate. We will not restate what you were already paid.
If a client is refunded, your share on that payment is reversed at the rate it was originally priced at, and deducted from your next statement. If the payment was charged back, the same applies.
You get a statement each month showing each referred client, what they paid, what we received after payment fees, and what you are owed.
If we cannot price a payment, we will not guess. The statement will say so and we will sort it out with you before paying.
5. What you must tell your clients
You must tell any client you refer that you receive a share if they subscribe. Before they decide, not afterwards.
We ask for this because the recommendation carries your name. A client who finds out later has a reason to doubt the advice, and that costs you more than it costs us.
How you say it is up to you. One line in an email is enough.
6. What you may say about Business Partner
Say what it does. Do not promise what it will produce.
You may describe what Business Partner does, using the material we give you or your own words.
You may not promise a client any particular result, recovery, saving or amount. You may not say Business Partner performs accounting, tax or legal work, or replaces any part of what a practice does. You may not say it is endorsed by SAIPA, SAIBA, ICBA or any professional body.
If we ask you to stop using a particular claim, please stop using it.
7. Your clients stay yours
We will not sell your referred clients anything other than a Business Partner subscription.
We will not pass their details to anyone. We will not use your client list for anything except paying you.
Introducing a client does not give you access to their account. If a client wants you to see their business in Business Partner, they switch that on themselves and they can switch it off again. If they do switch it off, your introduction and your share are unaffected.
If you stop being a partner, your clients keep their subscriptions and nothing about their account changes.
8. What Business Partner is and is not
Business Partner prepares. The owner decides.
It reads reports the business already produces, brings forward what needs attention, and prepares wording for the owner to review and send. It never contacts a customer, moves money, files a return or acts without the owner's instruction.
It does not provide accounting, tax or legal advice.
Where the evidence in a document cannot support a figure, it says so rather than guessing.
9. Ending it
Either of us can end this agreement at any time, in writing, for any reason.
If you end it, or we do, you are paid everything owed to you up to that date.
Your share stops when the agreement ends. Referred clients keep their subscriptions.
If you end it, your free practice account continues to the end of the current 90-day period or the current month, whichever is later.
We may end it immediately if you promise a client something we do not do, fail to disclose the arrangement, or do something that damages Business Partner's reputation. We will tell you why.
10. Everything else
This agreement sits alongside our Terms and Conditions, which apply to your own account and to every subscription. Where the two differ on something about your partnership, this agreement governs. Where they differ on anything about using the product, the Terms and Conditions govern.
We may change these partner terms. If we do, we will tell you at least 30 days before, in writing. Changes do not affect your share on payments already made, and every payment is always priced at the rate in force when it was made.
Which version applies to you. The version you accepted is the one that governs your partnership until you accept a later one. Every version we have published stays available to read, and every payment is priced at the rate in force when it was made.
This agreement is governed by South African law.
Nothing here makes either of us the other's employee, agent or partner in law. You are recommending something. We are paying you a share.
Accepting
By starting your free practice account and referring a client, you accept these terms.
